Job Description

A well-established law firm is looking for a Corporate Paralegal to support a high-performing legal team focused on transactional matters. This position is ideal for someone with several years of law firm experience who is ready to take on complex corporate projects in a collegial, in-office setting. Key Responsibilities:

  • Support attorneys handling a broad range of corporate matters including entity formation, mergers and acquisitions, financings, and fund structuring.
  • Draft and file legal documents, maintain corporate records and minute books, and assist with ongoing compliance obligations across multiple jurisdictions.
  • Manage due diligence requests, organize transaction documentation, and assist with closings and post-closing deliverables.
  • Prepare and file UCC financing statements and amendments, and coordinate with agencies regarding tax, litigation, or judgment searches.
  • Assist with preparing annual reports, managing state and federal filings, and supporting corporate governance.
  • Provide assistance in securities-related filings, including but not limited to Regulation D, Rule 506 notices, Section 16 filings, and more.
  • Coordinate logistics for meetings, filings, and deal closings while working with attorneys, clients, and external vendors.

What We’re Looking For:

  • Experienced. You have at least three (3) years of corporate paralegal experience in a law firm, with a solid grasp of corporate governance, transactional documentation, and compliance.
  • Educated. You hold a Bachelor’s degree; candidates with a paralegal certificate will stand out to this employer.
  • Detail-oriented. You take pride in producing accurate, polished work and are adept at managing high volumes of information across multiple deals.
  • Client-focused. You approach your work with a sense of urgency, professionalism, and responsiveness.
  • Tech-savvy. You’re proficient with Microsoft Office and experienced with online systems like EDGAR.
